Certain distribution partners for the Spoofed Call Protection require that Customer agree to additional terms and conditions. Accordingly, Customer agrees to comply with the applicable distribution partner terms and conditions set forth below (the “Distribution Partner Terms”), which are hereby incorporated by reference into the applicable Service Order, as these terms may be amended from time to time. To the extent any of the Distribution Partner Terms conflict with the terms of the Service Order or Master Services Agreement, the Distribution Partner Terms shall govern.

1.1. Customer shall take immediate steps to correct its Customer Data if Neustar rejects data due to identified inaccuracies or inconsistencies.
1.2. Customer acknowledges and agrees that Neustar will, upon identifying an unauthenticated call using Customer’s vetted telephone numbers, communicate to the participating mobile network operator (i.e., AT&T) attempting to terminate the call that the call should be blocked. Upon receiving this notification, the participating mobile network operator will attempt to block the call.
1.3. Customer acknowledges and agrees that Customer will submit CIA Queries to Neustar as described herein, and Customer agrees that call blocking is only available for telephone numbers that have all legitimate calls generating CIA Queries to Neustar.
1.4. AT&T will have no liability related to the delivery of, or failure to deliver, calls made on behalf of any Customer based on inaccurate information submitted by Customer to the Caller ID Authentication platform. In the event that calls are made from vetted telephone number(s) registered for the SCP Service for which no information is submitted to the Neustar’s platform, such calls terminating on the AT&T network may be blocked. For the avoidance of doubt, Customer acknowledges that AT&T shall not be responsible for any unintended blocking that occurs due to Customer’s failure to appropriately route CIA Notifications to Neustar for all calls from the vetted telephone numbers.
1.5. Customer shall indemnify, defend and hold harmless AT&T and its affiliates for any inaccurate Customer Data it delivers in any manner.
1.6. Customer shall acknowledge in writing that the Services are not intended to satisfy any legal or regulatory requirement applicable to Customer.
1.7. Customer acknowledges to the extent that Neustar obtains or uses AT&T Customer Information including CPNI in connection with providing the SCP Service, Neustar shall be an authorized agent of AT&T with respect to the receipt and use of such information. Notwithstanding the foregoing, Neustar is prohibited from sharing such information with the Customer.
1.8. Customer shall not export the Service or use it outside of the United States. Customer represents, warrants and covenants that it has legally obtained, and it has all rights necessary to provide any information provided to Neustar or in connection with the Service including, but not limited to, providing notice to subscribers and other applicable end users concerning Customer’s use of their data.
1.9. Customer warrants that all Customer Data transmitted from Customer for inclusion in a Neustar database is accurate to the best of Customer’s knowledge, that Customer has the right and authority to provide such Customer Data to Neustar, and that such Customer Data is provided in compliance with all applicable laws, rules and regulations. Customer assumes sole responsibility for the accuracy of all Customer Data which Customer presents for entry or enters directly in a Neustar database and Customer will notify Neustar promptly in writing when Customer no longer owns or has the right to use the Customer Data.
1.10. Customer will not resell the Services. Customer shall not sell, license, transfer, dispose or distribute in any manner (whether directly or indirectly) the Services or any derivatives thereof, to a third party and shall not use the Services to provide service bureau, time sharing, or similar shared services to third parties. Customer shall not nor shall it allow any third party to (i) disassemble, deconstruct, decompile, or otherwise reverse engineer the Services, (ii) combine the Services with any Customer or third-party software except as authorized in the Agreement, or (iii) create derivative works from the Services or (iv) use data or information obtained from the Service to produce a result or functionality similar to the Service.
2.1. Customer agrees that the enablement and use of the Brand Call Protect Services is subject to the satisfaction of the initial and ongoing enterprise and number vetting process of T-Mobile (or its technical service provider of the Brand Call Protect Services)
2.2. Customer acknowledges that the Services are not intended to satisfy any legal or regulatory requirement applicable to Customer; and Customer agrees that it will provide a written confirmation of such acknowledgement in writing, if requested.
2.3. Customer will ensure that the usage of any personal information will comply with applicable laws, rules and regulations.
2.4. Customer acknowledges its responsibility to and shall obtain all consents and permissions required in compliance with all applicable laws, rules and regulations in any way related to the calls or other means of delivering the Brand Call Protect Services to called parties (e.g., Telephone Communications Protection Act of 1991, Fair Debt Collection Practices Act, Do Not Call Registry, Telemarketing Sales Rule and Truth in Caller ID).
2.5. Customer represents and warrants that the Client is the owner or otherwise has the right to use the A number(s) submitted by the Client for registration and use with the Services. Furthermore, the Client will agree to promptly advise Company (or the subaggregator, if applicable) in writing (which may include removal of the A number(s) from registration) when the Client no longer owns or has the right to use any such A number.
2.6. Customer acknowledges that prior to initiating a call, a Pre-Call API request will be used via Neustar to submit the A Number and B Number pair which create a unique hashed key used to authenticate the call. A Time to Live (TTL) is also submitted in the API request and controls how long the hashed key is allowed to remain active. The value of the TTL is configurable by the Company subject to the constraints established by T-Mobile (or its technical services provider) for the Services (as modified from time to time by T-Mobile (or its technical services provider). All calls made from the A number that do not have a Pre-Call API or that do not have a hashed key match will be blocked and not delivered. As a result, only calls to the B numbers submitted with the Pre-Call API will be delivered from the associated A numbers during the designated time frame.
2.7. T-Mobile and its technical services provider shall have no liability related to the delivery of, or failure to deliver, calls made on behalf of any client based on inaccurate information submitted in the pre-call api and for those a numbers of client for which client has acquired T-Mobile’s brand call protect service, in the event a call is made from such numbers without a pre-call api (including calls for which no pre-call api is utilized by client), such calls terminating in the T-Mobile network will be blocked.

In addition, Providing Party may immediately suspend Customer’s use of the Service in connection with the Carrier (including its Subscribers) at the request or direction of the Carrier. Providing Party will provide prompt notice to Customer of any such suspension. Neustar will use commercially reasonable efforts to provide Customer with notice prior to any such suspension and will provide prompt notice following any such suspension.
3.3. Customer acknowledges and agrees that Customer will submit CIA Queries to Neustar as described herein, and Customer agrees that call blocking is only available for telephone numbers that have all legitimate calls generating CIA Queries to Neustar.

TNS will have no liability related to the delivery of, or failure to deliver, calls made on behalf of any Customer based on inaccurate information submitted by Customer to the Caller ID Authentication platform. In the event that calls are made from vetted telephone number(s) registered for the SCP Service for which no information is submitted to the Neustar’s platform, such calls terminating on the TNS network may be blocked. For the avoidance of doubt, Customer acknowledges that TNS shall not be responsible for any unintended blocking that occurs due to Customer’s failure to appropriately route CIA Notifications to Neustar for all calls from the vetted telephone numbers.
